Role Overview:

We are seeking a strategic, business minded Deputy General Counsel (DGC) to help build and scale our North American legal program and drive proactive management of all legal and regulatory compliance obligations. The DGC will serve as a trusted advisor to the General Counsel and senior leadership and will partner closely with Information Security, IT, Operations, HR, Product, and Commercial teams. The ideal candidate brings 12+ years of progressively responsible in-house and top tier law firm experience spanning regulatory compliance, litigation (management), commercial transactions, and data privacy/security, including incident response.  

 

Key Responsibilities

  • Legal Program & Compliance Leadership  
  • Help to design and mature the North American legal program, including policies, controls, training, monitoring, and reporting to address federal, state, provincial, and sector specific obligations.  
  • Establish a risk assessment and issue management framework with clear ownership, remediation of SLAs, and executive level reporting.  
  • Privacy, Data Protection & Security  
  • Own legal strategy for data privacy across North America; advise on privacy by design and data lifecycle governance (collection, use, retention, deletion, DSARs).  
  • Counsel the Information Security and Operations teams on incident response plans (tabletop exercises, playbooks, escalation paths), breach assessment, notification obligations, evidence preservation, and post incident remediation.  
  • Draft and negotiate DPAs, SCCs/IDTA, data sharing agreements, and security addenda. 
  • Track and operationalize evolving requirements (e.g., state privacy laws, sectoral security rules, breach notification laws).  
  • Commercial Transactions  
  • Draft, review, and negotiate a high volume and variety of commercial agreements: MSAs, SOWs, SaaS/Cloud subscriptions, licensing, channel/partner, procurement, NDAs, professional services, and strategic deals.  
  • Develop legal contracting playbooks, clause libraries, fallback positions, and self-service workflows to accelerate contract completion while managing risk.  
  • Cross Functional Enablement & Leadership  
  • Serve as a thought partner to executive leadership; provide practical, business focused legal advice.  
  • Manage external resources to deliver cost-effective, high-quality outcomes.  
  • Help process automation and tooling (e.g., CLM, matter management, policy portals, training platforms) to scale the function.  

 

Basic Qualifications

  • J.D. (or equivalent) and active bar membership in at least one U.S. jurisdiction.  
  • 12+ years of combined law firm and in-house experience, with substantial time in a senior in-house role supporting fastmoving business clients.  
  • Demonstrated expertise in regulatory compliance (US/Canada); commercial contracts (including complex tech transactions); litigation management; data privacy and cybersecurity, including incident response and breach handling. 
  • Strong drafting, negotiation, and stakeholder management skills; ability to simplify complexity and provide actionable, risk balanced guidance.  

 

Preferred Qualifications

  • Experience with U.S. state privacy laws (e.g., CCPA/CPRA, VCDPA, CPA, etc.), Canadian privacy (PIPEDA), and sectoral frameworks.  
  • Proven track record building or maturing legal/compliance programs and delivering measurable outcomes.  
  • Familiarity with NIST/ISO controls, SOC 2, and security governance.  
  • Experience in automotive and/or tech industry is strongly preferred. 
  • People leadership experience and budget/ops ownership.

 

Salary range:  $181,240 -$259,160
